Company Secretary / Compliance Officer

Role Summary:
We are seeking a diligent and experienced Company Secretary / Compliance Officer to join our legal and compliance team. The ideal candidate will be responsible for ensuring the company adheres to all statutory and regulatory requirements, maintaining corporate governance standards, and managing all secretarial functions. This role is crucial for upholding the company's integrity and smooth operations within the Indian automotive sector.

Key Responsibilities:
- Oversee and manage all secretarial and compliance functions as per the Companies Act, 2013, and other applicable laws and regulations in India.
- Ensure timely filing of all statutory forms, returns, and documents with the Registrar of Companies (RoC) and other regulatory bodies.
- Prepare agendas, minutes, and resolutions for Board meetings, Committee meetings, and General Meetings.
- Maintain statutory registers and records of the company.
- Advise the Board of Directors on corporate governance best practices and compliance matters.
- Manage stock exchange compliance and filings (if applicable).
- Handle legal and secretarial aspects of corporate restructuring, mergers, acquisitions, and other corporate actions.
- Liaise with external agencies, auditors, legal counsels, and regulatory authorities.
- Ensure compliance with SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, and other SEBI guidelines.
- Develop and implement compliance policies and procedures.
- Conduct internal audits and reviews to ensure adherence to policies and regulations.
