Job Description

Role Summary:
We are seeking a diligent and experienced Company Secretary & Compliance Officer to ensure the smooth functioning of our corporate governance and regulatory compliance. The ideal candidate will be responsible for upholding the highest standards of legal and ethical conduct within the organization, in line with Indian corporate laws and regulations. This role is crucial for maintaining NPCI's reputation and operational integrity.

Key Responsibilities:

* Oversee and manage all secretarial functions, including board meetings, committee meetings, and general meetings (AGM/EGM).
* Ensure compliance with the Companies Act, 2013, SEBI regulations, and other applicable laws and regulations.
* Prepare and file all necessary statutory forms, returns, and documents with the Registrar of Companies (RoC), SEBI, and other regulatory bodies.
* Maintain statutory registers and records of the company.
* Advise the Board of Directors and senior management on corporate governance best practices and compliance matters.
* Liaise with regulatory authorities, auditors, and legal counsel.
* Develop and implement internal policies and procedures to ensure compliance.
* Manage corporate secretarial aspects of mergers, acquisitions, and other corporate restructuring activities.
* Ensure timely dissemination of information to stakeholders as required by law.
* Conduct due diligence and risk assessments related to compliance.
