Company Secretary / Compliance Officer (3-5 Yrs)

We are seeking a highly qualified and experienced Company Secretary / Compliance Officer to join our legal and compliance team in Nagpur. The ideal candidate will possess a Doctorate/PhD and have 3-5 years of relevant experience in corporate secretarial functions and regulatory compliance, preferably within the industrial equipment manufacturing sector. This role is crucial for ensuring adherence to all legal and regulatory requirements, maintaining corporate governance standards, and supporting the company's strategic objectives.

Key Responsibilities:

- Oversee and manage all secretarial compliance activities as per the Companies Act, 2013, SEBI regulations, and other applicable laws.
- Ensure timely filing of all statutory forms and documents with the Registrar of Companies (RoC) and other regulatory bodies.
- Prepare agendas, minutes, and resolutions for Board meetings, committee meetings, and Annual General Meetings.
- Advise the Board of Directors on corporate governance best practices and compliance matters.
- Manage and maintain statutory registers and records of the company.
- Conduct due diligence and risk assessments related to compliance and corporate governance.
- Coordinate with internal and external auditors on compliance-related matters.
- Assist in drafting and reviewing legal agreements, policies, and procedures.
- Stay updated with amendments in laws and regulations affecting the company and ensure proactive compliance.
- Support the company in any legal or regulatory investigations and proceedings.
