Legal Entity Management Specialist

Role Summary: We are seeking a detail-oriented and experienced Legal Entity Management Specialist to join our team in India. The ideal candidate will be responsible for overseeing and managing the legal entity lifecycle, ensuring compliance with all relevant regulations, and maintaining accurate corporate records for all entities operating within India. This role is crucial for maintaining the legal and regulatory integrity of our operations.

Key Responsibilities:

• Manage the formation, registration, and dissolution of legal entities in India.
• Ensure timely filing of annual returns, financial statements, and other statutory documents with regulatory authorities (e.g., MCA, RBI).
• Maintain a comprehensive and up-to-date database of all legal entities, including corporate governance documents, board resolutions, and shareholding information.
• Coordinate with internal legal, compliance, finance, and tax teams, as well as external counsel and service providers.
• Monitor changes in relevant laws and regulations affecting corporate entities in India and implement necessary updates.
• Assist in corporate restructuring, mergers, and acquisitions from a legal entity management perspective.
• Prepare and review board minutes, resolutions, and other corporate secretarial documents.
• Conduct due diligence on new and existing legal entities.
